PropChex Terms of Service

1. Introduction

Welcome to PropChex LLC ("Company," "we," "our," "us") herein referred to as Propchex. These Terms of Service ("Terms") govern your access to and use of PropChex's website, mobile application, and related services (the "Service"). The Service helps real estate agents and property vendors coordinate listing tasks, share access information, upload photos, and communicate.

By creating an account or using PropChex, you agree to these Terms. If you do not agree, do not use the Service.

2. Who Can Use PropChex

You must be at least 18 years old to use PropChex. By using the Service, you confirm that:

You are a real estate agent, property vendor, or authorized representative of such a business

All information you provide is accurate and complete

You will not share your account access with unauthorized people

Agents are responsible for verifying the identity and qualifications of any vendor they invite.

3. Two Types of Accounts

3.1 Agent Accounts

Agents create property listings, add vendors, upload photos, and manage tasks. Agents can upgrade to paid plans (Pro or Team) for additional features.

3.2 Vendor Accounts (Lightweight)

Vendors receive a magic login link via email – no password needed. Vendor accounts are simple by design:

No credit card required

Vendors only see jobs assigned to them by agents they work with

Vendors cannot see other agents' listings or other vendors' jobs

Access to property codes expires automatically after a job is complete

Vendors can check in, upload after-photos, mark tasks complete, and message agents through the app.

4. Paid Plans & Subscriptions

PropChex offers the following plans. All prices are in USD and exclude taxes.

Billing & Cancellation:

Pro and Team plans are billed monthly in advance

Cancel anytime from your account settings

Cancellation takes effect at the end of your current billing month

No refunds for partial months

One-Time Service – Vendor Data Import: $49 to have our team import your existing vendor contacts from Excel or Google Contacts into your PropChex Vendor Library.

5. Website Import Feature

Agents can paste a vendor's website URL, and PropChex will attempt to automatically extract the vendor's business name, phone, email, and address.

Important limitations:

Automatic extraction may fail depending on how the vendor's website is built

If extraction fails, PropChex will ask you to enter the information manually

PropChex does not guarantee that extracted information is accurate – please review and confirm before saving

Only use this feature on websites you have permission to access

6. Access Information & Security (Important)

PropChex allows agents to store security-sensitive information such as lockbox codes, gate codes, key locations, and alarm codes.

How we protect this information:

All access codes are encrypted so they cannot be read if our database is ever breached

PropChex keeps a log every time a vendor views an access code

Vendor access to codes expires automatically 12 hours after their job is marked complete

Agents control which codes vendors can see using simple visibility toggles

Your responsibility:

Never share access codes outside of PropChex

Alarm codes and owner contact information are always hidden from vendors by default

If you accidentally give a vendor access to sensitive information, remove them from the job immediately

If you share codes outside the app and a security incident occurs, you assume full responsibility.

7. Photos & Documents

7.1 Photos

Agents and vendors can upload before and after photos. Free plan users are limited to 5 photos per listing. Pro and Team plans have no limits.

7.2 Vendor Documents

Vendors can upload invoices, reports, W-9 forms, insurance certificates, and receipts directly through their dashboard.

Agents can track documents

Agents can download all documents for a listing as a single ZIP file

Agents can package documents into one PDF to email to homeowners

Important: PropChex does not process payments. Agents and vendors must arrange payment directly. PropChex does not guarantee payment.

7.3 Your Photos & Documents Remain Yours

You own all photos and documents you upload. PropChex only stores and displays them to provide the Service. We will never sell your photos or documents to third parties.

8. Email, SMS & Push Reminders

Agents on Pro and Team plans can send reminders to vendors via email, text message (SMS), or push notification.

All messages must be approved by the agent before sending

Vendors can reply "STOP" to text messages to opt out of future reminders

PropChex does not send messages from its own email domain – replies go to the agent's email address

9. In-App Messaging

Agents and vendors can message each other inside the PropChex app.

Phone numbers are hidden from both parties

Messages expire 30 days after a job is complete

Do not use in-app messaging to share access codes – use the secure access code feature instead

10. Shared Calendar

PropChex generates a calendar link that vendors can add to their Google Calendar or Apple Calendar.

The calendar shows job times and property addresses only

Access codes are never included in calendar files – vendors must open the app to view codes

11. Prohibited Conduct

You may not use PropChex to:

Violate any law

Share access codes outside the app

Harass, threaten, or abuse any other user

Scrape or crawl data from PropChex

Attempt to bypass security features

Impersonate another person or business

Upload viruses or malicious files

Violation of these rules may result in immediate account termination without refund.

12. What PropChex Is NOT Responsible For

To the maximum extent permitted by law, PropChex is not liable for:

A vendor failing to show up, doing poor work, or causing damage to a property

Errors in automatically extracted vendor contact information

Delays caused by third-party services (text message providers, email services, cloud hosting)

Unauthorized access to your account if you shared your login or magic link

Any dispute between an agent and a vendor

PropChex is a coordination tool only. We do not book vendors, process payments, or guarantee work quality.

Our total liability to you is limited to the amount you paid us in the last 12 months, or $100 if you have not paid us anything.

13. No Warranties

PropChex is provided "as is" and "as available." We do not guarantee that:

The Service will be uninterrupted or error-free

The website import feature will always work

Vendors will complete tasks as scheduled

Access codes will never be accessed by unauthorized parties (despite our security measures)

14. You Agree to Protect PropChex (Indemnification)

You agree to protect, defend, and hold PropChex harmless from any claims, damages, or legal fees arising from:

Your use of the Service

Your violation of these Terms

Your mishandling of access codes (for example, texting a lockbox code to a vendor instead of using the app)

Any dispute between you and a vendor or between you and a homeowner

15. Account Termination

We may suspend or terminate your account immediately if:

You violate these Terms (especially security rules)

Law enforcement requests it

Your account has been inactive for 12+ months (vendors)

We suspect unauthorized or harmful activity

Upon termination, your data will be deleted within 30 days, except where we are required to keep it by law.

16. Data Retention & Deletion

Agents: You may delete your account at any time. Your listings, vendor library, and photos will be permanently deleted within 30 days.

Vendors: Vendor accounts are deactivated after 12 months of inactivity. You may request deletion by contacting support.

Access logs: Security audit logs are kept for 12 months.

17. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you by:

Posting the new Terms on our website with an updated "Last Updated" date

Sending an email to the address associated with your account

Showing a notice in the app

Changes become effective 14 days after notice. If you do not agree, you must stop using PropChex and delete your account before the effective date.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of San Francisco County, California, without regard to conflict of law principles.

Dispute Resolution Process:

Try to resolve informally first: Contact us at support@propchex.app before filing any claim.

Binding arbitration: If we cannot resolve the dispute within 60 days, it will be resolved through binding arbitration, not in court.

No class actions: You agree to resolve disputes on an individual basis only. You cannot sue PropChex as part of a class action or group lawsuit.

19. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, End User Agreement (EULA), and Return and Refund Policy, represent the entire agreement between you and PropChex. They replace any prior agreements, whether written or oral.

END USER LICENSE AGREEMENT (EULA)

IMPORTANT – READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you ("Licensee" or "User") and Propchex LLC ("Licensor", "we", "us", or "our") for the Propchex software, including any associated media, printed materials, online documentation, and updates ("Software").

By installing, copying, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

EULA 1. LICENSE GRANT

Subject to your compliance with this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business or personal purposes in accordance with the applicable subscription or purchase tier.

You may:

Install and use the Software on devices you own or control.

Access cloud-based versions of Propchex via supported web browsers.

EULA 2. RESTRICTIONS

You may NOT:

Copy, modify, adapt, translate, or create derivative works of the Software.

Reverse engineer, decompile, disassemble, or attempt to derive the source code.

Rent, lease, lend, sublicense, sell, or distribute the Software to any third party.

Use the Software in any way that violates applicable laws (e.g., fraud, discrimination in housing/property transactions).

Remove or alter any proprietary notices or labels on the Software.

Use the Software to develop a competing product or service.

EULA 3. INTELLECTUAL PROPERTY RIGHTS

The Software is licensed, not sold. All title, ownership, and intellectual property rights (including copyrights, trade secrets, trademarks, and patents) in and to the Software belong solely to Licensor or its licensors. This EULA does not give you any rights to Licensor’s trademarks or service marks.

EULA 4. DATA & PRIVACY

You agree that Licensor may collect, process, and store technical, usage, and property-related data as described in our Privacy Policy. You retain ownership of your property data; we retain ownership of aggregated, anonymized statistical data that does not identify you.

You are responsible for the accuracy of any property information you input into Propchex.

EULA 5. SUBSCRIPTIONS, FEES, & AUTOMATIC RENEWAL

Some versions of Propchex require a paid subscription. Unless you cancel before the renewal date, your subscription will automatically renew at the then-current rate. All fees are non-refundable except as required by law or explicitly stated in our refund policy.

We may change fees upon 30 days’ notice.

EULA 6. TERMINATION

This EULA is effective until terminated. Your rights terminate automatically without notice if you fail to comply with any term. Upon termination, you must cease all use of the Software and delete all copies.

We may suspend or terminate access to cloud services immediately for violations of law or suspected fraud.

EULA 7. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND. LICENSOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Propchex is a tool to assist with property analysis; it does not constitute legal, financial, engineering, or appraisal advice. You should independently verify all critical information.

EULA 8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, DATA, OR PROPERTY VALUE) ARISING FROM OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LICENSOR’S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES YOU PAID (IF ANY) TO LICENSOR IN THE 12 MONTHS PRECEDING THE CLAIM.

EULA 9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Licensor and its affiliates from any claims, damages, or expenses (including attorney fees) arising from your misuse of the Software, violation of this EULA, or violation of any third-party rights (e.g., using property data improperly).

EULA 10. EXPORT CONTROL

You agree not to export or re-export the Software in violation of U.S. or applicable international export control laws.

EULA 11. GOVERNING LAW & DISPUTE RESOLUTION

This EULA shall be governed by the laws of California , excluding its conflict of laws principles.

Any dispute arising from this EULA shall be resolved through binding arbitration in San Francisco, CA , administered by the American Arbitration Association or other appropriate body, unless the claim qualifies for small claims court. You waive any right to participate in a class action.

EULA 12. SEVERABILITY

If any provision of this EULA is found unenforceable, the remaining provisions will continue in full force and effect.

EULA 13. ENTIRE AGREEMENT

This EULA, along with any applicable Subscription Terms and Privacy Policy, constitutes the entire agreement between the parties concerning the Software and supersedes all prior agreements.
